Terms of Sale

Last updated September 15, 2026

Template — have this reviewed before launch. This is a solid starting draft written around how Kika Flowers actually operates, but it is not legal advice. A Florida attorney should check it, and every [bracketed] item below needs replacing with real detail.

These terms govern wholesale sales by Kika Flowers to verified business customers. Placing an order means you accept them.

Wholesale only

We sell exclusively to businesses buying for resale or for use in their own commercial work — flower shops, event florists, designers, wedding businesses, hotels, restaurants and similar trade accounts. We do not sell to individual consumers. We may require a valid resale certificate or equivalent business verification before your first order, and we may decline or close an account at our discretion.

Quotes and pricing

Wholesale flower prices move with the market, the season and the volume ordered, so we do not publish a fixed price list. A quote is valid for [number] days from the date we issue it and is subject to availability at the time you confirm. Prices are quoted [exclusive / inclusive] of shipping and applicable taxes.

Minimums

Minimum order quantities vary by variety and by how you order — stems, bunches, boxes or pallets. Current minimums are confirmed on your quote. Stems per bunch and per box vary by variety, grade and farm; the counts that apply to your order are stated on the quote.

Orders and confirmation

An order is binding once you confirm a quote in writing and we accept it. Because flowers are perishable and are often bought to order against a specific shipment, orders may not be cancellable after [cut-off]. Changes requested after that point are accommodated where we can, but cannot be guaranteed.

Payment

Payment terms are [state them: prepayment, net 15, net 30]. We accept [methods]. Late payments may accrue interest at [rate] and may suspend an account.

Substitutions

Availability is set by the market and by growing conditions. Where a variety is short we will contact you before shipping and offer the closest substitution in colour and form. We will not substitute without your agreement, or outside the standing substitution preferences recorded on your account.

Delivery and risk

Lead times depend on volume and destination and are confirmed on your quote. Delivery dates are estimates given in good faith; we are not liable for delays caused by carriers, weather or other events outside our control. Risk of loss passes [on delivery / on collection by the carrier]. Someone must be available to receive and refrigerate a shipment on arrival — flowers left unattended are not our responsibility.

Inspection and claims

Flowers are perishable and must be inspected on arrival. Claims for damaged, short or non-conforming product must reach us within [number] hours of delivery, with photographs of the product and the packing. We will replace or credit product that fails to meet grade. We cannot accept claims for product that was not unpacked, recut and hydrated promptly on arrival, or that was held outside appropriate cold storage.

Limitation of liability

Our liability for any order is limited to the value of the product supplied. We are not liable for indirect or consequential losses, including lost profit or the cost of a replacement event. [Confirm this clause with counsel — enforceability varies.]

Governing law

These terms are governed by the laws of the State of Florida, and disputes fall to the courts of [county] County, Florida.
